1. Introduction

These Terms and Conditions (“Terms”) govern your use of the Connexa software platform (“Software”) and related services (“Services”) provided by Connexify (Pty) Ltd (“Connexify”, “we”, “us”, or “our”), a company registered in the Republic of South Africa.

By downloading, installing, or using the Software, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If you do not agree, do not use the Software.

2. Definitions

  • “Software” means the Connexa network management system (NMS), customer relationship management system (CRM), or any combination thereof, including updates and documentation.
  • “Licence” means the right to use the Software under a specific plan and tier as described on our website.
  • “Device” means a network device (router, access point, switch, or similar) managed or monitored by the Software.
  • “Personal Information” has the meaning ascribed to it in the Protection of Personal Information Act 4 of 2013 (“POPIA”).

3. Products & Services

Connexify offers the following products, which may be purchased individually or as a bundle:

  • Connexa NMS — Network Management System for tower monitoring, device management, wireless client tracking, Zabbix integration, and script automation.
  • Connexa CRM — Customer Relationship Management for customer database, ticketing, job cards, outage management, and customer portal.
  • Connexa Complete — Integrated NMS + CRM bundle at a discounted rate.

The features included in each plan are described on the Pricing page of our website. Feature availability may vary by plan tier.

4. Pricing & Payment

  • All prices displayed on our website are in South African Rand (ZAR) and exclude VAT unless explicitly stated otherwise.
  • Payment is processed securely via PayFast. We do not store your payment card details.
  • Subscriptions are billed monthly or annually, depending on the plan selected.
  • Prices may be amended from time to time. We will provide at least 30 days’ notice of any price changes to existing subscribers.
  • Annual plans are non-refundable after the first 14 days, except where required by the Consumer Protection Act 68 of 2008 (“CPA”).

5. Free Trial

We offer a 7-day free trial with access to core features and a limit of 10 devices. No credit card is required. At the end of the trial period, you must purchase a licence to continue using the Software. We will not automatically charge you.

6. Licence Grant & Restrictions

Subject to payment and compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable licence to install and use the Software on the number of devices permitted by your plan.

You may not:

  • Reverse-engineer, decompile, or disassemble the Software;
  • Sublicense, sell, resell, or redistribute the Software;
  • Remove or alter any proprietary notices or labels;
  • Use the Software to provide services to third parties (except as permitted under MSP/multi-tenancy plans);
  • Exceed the device limits of your plan.

7. Data Ownership & Processing

You retain ownership of all data you input into the Software (“Customer Data”). The Software runs on your own infrastructure — Customer Data is stored locally on your server and is not transmitted to Connexify, except:

  • Licence validation requests (licence key, device count, software version);
  • Contact form submissions (name, email, company, message);
  • Support requests you voluntarily submit.

8. Service Availability & Uptime

The Software is installed on your own infrastructure. We do not guarantee uptime of your local installation. Our licence server targets 99.9% uptime for licence validation services. Scheduled maintenance will be communicated in advance where possible.

9. Support

Support levels vary by plan tier:

  • Starter: Email support (response within 48 business hours).
  • Pro: Priority email support (response within 24 business hours).
  • Business: Dedicated support (response within 12 business hours).
  • Enterprise: 24/7 dedicated support with assigned account manager.

Support is provided in English. Response times are targets, not guarantees.

10. Licence Expiry & Grace Period

If your licence expires or is not renewed, the Software will continue to operate for a 30-day grace period. After the grace period, monitoring and management features will be paused until a valid licence is applied. Your data will not be deleted.

11. Cancellation & Refunds

  • Monthly subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing period.
  • In accordance with the CPA, you may cancel within 5 business days of initial purchase for a full refund (“cooling-off period”).
  • Annual subscriptions may be refunded within 14 days of purchase if you have not exceeded the trial device limit.

12. Limitation of Liability

To the maximum extent permitted by South African law:

  • The Software is provided “as is” without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Software.
  • Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.
  • Nothing in these Terms excludes liability that cannot be excluded under South African law, including liability for fraud or gross negligence.

13. Intellectual Property

All intellectual property rights in the Software (including source code, design, documentation, and trademarks) are owned by Connexify (Pty) Ltd. Your licence does not transfer any ownership rights.

14. Consumer Protection

Nothing in these Terms is intended to limit your rights under the Consumer Protection Act 68 of 2008 (CPA). Where any provision of these Terms conflicts with the CPA, the CPA shall prevail.

You have the right to lodge a complaint with the National Consumer Commission (NCC) if you believe your consumer rights have been infringed.

15. Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, the dispute may be referred to mediation or arbitration in accordance with the Arbitration Act 42 of 1965. These Terms are governed by the laws of the Republic of South Africa, and the courts of South Africa shall have jurisdiction.

16. Amendments

We may amend these Terms from time to time. Material changes will be communicated to registered users via email at least 30 days before taking effect. Continued use of the Software after the effective date constitutes acceptance of the amended Terms.
